Henry Dacosta Wholesale Terms and Conditions
Please read the following terms carefully before applying for or placing a wholesale order with Henry Dacosta.
1. Minimum Order Quantities (MOQs)
Category A: Luxury Shoes
- MOQ: The minimum order quantity is 12 pairs per style/colorway.
Category B: Premium Compression Socks
- MOQ: The minimum order quantity is 24 pairs per colorway.
2. Pricing & Minimum Advertised Price (MAP) Policy
- All prices listed on the Brand's B2B Line Sheet are wholesale prices, exclusive of value-added tax (VAT), customs duties, and shipping fees.
- MAP Compliance: Retailer agrees to maintain the Manufacturer's Suggested Retail Price (MSRP) for all our products.
- Discount Restrictions: Products may not be advertised, sold, or discounted below MSRP without prior written consent from the Brand. Exceptions are granted only during universally recognized seasonal sales windows (e.g., End-of-Season winter/summer sales), and discounts must not exceed 30%.
- Violations of the MAP policy will result in the immediate and permanent termination of the wholesale account.
3. Payment Terms
- Orders (Pro Forma): Buyers must pay 100% upfront (Pro Forma) via bank wire transfer (SEPA/SWIFT) or authorized credit card before production allocation or shipment.
4. Shipping, Logistics, and Duties
- All shipments are delivered EXW (Ex Works) from our regional distribution warehouses (US / Europe).
- The Retailer is fully responsible for all shipping costs, local import duties, customs clearances, and local taxes.
- The Brand will arrange shipping via our designated carrier (e.g., DHL, FedEx) and charge the freight costs directly to the Retailer's invoice, unless the Retailer provides their own corporate courier account details.
5. Lead Times & Delivery Deadlines
- Footwear Stock: Core footwear styles and sizes generally ship within 5 to 7 business days if available in stock. Seasonal pre-orders require a lead time of 90 to 120 days.
- Compression Hosiery: Standard fulfillment from warehouse stock takes 3 to 5 business days.
- The Brand is not legally liable for external global logistics delays caused by shipping carriers, port congestion, or customs inspections.
6. Inspection, Defects, and Returns
- All wholesale sales are final. Returns or exchanges for slow-moving inventory are strictly prohibited.
- Damaged Goods: The Retailer must inspect all shipments within five (5) business days of physical delivery. Any claims for manufacturing defects, damaged packaging, or shipping errors must be submitted in writing to business@henrydacosta.com accompanied by digital photographic proof.
- Approved defective items will be replaced by the Brand at no additional cost or issued as a store credit toward the Retailer's next invoice after approved returns.
7. Territory & Distribution Restrictions
- The Retailer is explicitly authorized to sell the Brand's products exclusively at the physical brick-and-mortar boutique locations approved during the application process.
- Online Sales: Retailers may sell the products on their own proprietary, brand-owned e-commerce website.
- Third-Party Marketplace Ban: Retailers are strictly prohibited from listing, selling, or redistributing the Brand's products on third-party online marketplaces, including but not limited to Amazon, eBay, Farfetch, or Zalando, without explicit, written executive authorization.
